URSB deregisters more than 50,000 companies over compliance failures

The Uganda Registration Services Bureau has deregistered 50,003 companies for failing to file annual returns and missing the deadline for restoration, according to a public notice issued Dec. 30.

The move follows a series of warnings issued by the registrar of companies in July and August 2023. Under Section 130(6) of the Companies Act, businesses that fail to file annual returns for five consecutive years are struck off the official register.

Following the initial removal, companies had 12 months to apply for restoration. The bureau confirmed Tuesday that the 50,003 entities now being deregistered failed to take that action within the required timeframe.

The bureau, known as URSB, maintains a full list of the affected companies on its website at ursb.go.ug. Officials advised representatives of the deregistered businesses to visit any regional office for further inquiries.

The mass deregistration is part of a broader effort to clean up the national database and ensure compliance with corporate governance regulations in Uganda.
